KIDZ is the loudest name on Monday, July 6’s tape, doubling off Thursday’s $0.68 close and churning its tradable float dozens of times over between premarket and the opening minutes. As of this writing at 9:41 AM ET, the stock has tagged the high, faded, and is chopping in the middle of the day’s range. The skeptic’s question isn’t whether the news is real. It’s what the filings say about who supplies stock into every green candle from here — and the answer is unusually specific.
The catalyst
KIDZ AI — formerly Classover Holdings — announced Monday morning that it won the 2026 EdTechX Award for the Americas and unveiled KIDZBot, its AI robotics learning platform. Both claims come from the company’s own press release; the award isn’t independently verified yet. KIDZBot combines robotics hardware, curriculum, coding tools, and AI capabilities, is aimed at classrooms, learning centers, after-school programs, and summer camps, and commercial rollout is expected in the second half of 2026. No revenue attached, no signed contracts disclosed. The company has been reinventing at speed: a robotics collaboration with Shenzhen XuanYuan Technology, a co-development partnership with ICreate Education Technology, and a digital asset treasury pivot from Solana toward the Hyperliquid ecosystem.
The supply map
Post its 1-for-10 reverse split, KIDZ has roughly 2.06 million shares outstanding per the June 29 S-1 — with affiliates holding roughly half, leaving a genuinely tiny tradable float. That’s the squeeze fuel. Now the other side of the ledger:
- The June 29 S-1 registers the resale of 151.1 million Class B shares by Chardan Capital Markets under the equity purchase facility Classover entered with Chardan in May. Nobody holds those shares yet — they’re forward supply, created as the company puts stock to Chardan, and once Chardan acquires shares it may resell all, some or none at any time, at different prices.
- A separate Chardan ATM went active via the June 5 424B5, with roughly $12.5 million of capacity.
- Shareholders approved raising authorized Class B shares from 4 million to 2.5 billion on June 10 — the legal headroom for all of the above.
- The secured convertible note facility of up to $500 million was amended in late May, with another $600,000 of notes sold under it.
- The 1-for-10 reverse split took effect June 8, aimed at satisfying Nasdaq’s $1.00 minimum bid price requirement — yet the stock closed back at $0.68 on Thursday, July 2.
Today’s buyers aren’t fighting existing bag holders. They’re fighting future issuance — a machine built to convert exactly this kind of volume into cash for the company.
The levels
$1.48 is the session high and the trigger; reclaim and hold it on volume and the squeeze math on a float this thin gets violent, because the registered supply can’t hit the tape instantly. $1.00 is the pivot — round number, mid-range, and the exact Nasdaq bid line the split was engineered to defend. Lose it and the compliance story reopens alongside a gap-fill toward $0.68. Volume running at dozens of multiples of the float means no cost basis is stale — this trades level-to-level, not on conviction.
What flips the skeptic bullish: KIDZBot converting into disclosed, dollar-denominated deals, or the ChEF puts simply not arriving while a micro-cap this small rerates. Until then, size for 30–50% adverse swings and halt risk — floats this thin gap straight through stops.
