Sadot Group (NASDAQ: SDOT) is up roughly 48% in Friday’s premarket as of 8:49 AM ET, on volume that has already turned over the entire float several times before the opening bell. This isn’t a drifting sympathy move. There’s a filing behind it, and it’s the kind low-float traders key on: a standing dilution facility just got terminated.

The filing that lit the fuse

An 8-K that hit EDGAR Thursday, July 16 lays it out. Helena Global Investment Opportunities had alleged events of default under its agreements with Sadot — including the company’s failure to file and get effective a resale registration statement — and sued in the Southern District of New York. On July 15, Sadot signed a Settlement Agreement: it pays Helena $350,000 in cash by 5:00 p.m. ET on July 17, Helena dismisses the lawsuit with prejudice, and — the part the tape cares about — all obligations under the Helena agreements, including the equity line of credit facility, terminate. For a stock with a sub-1M float, an ELOC coming off the table removes a supply pipe that shorts had been leaning on. That’s the catalyst, plainly stated. A second 8-K hit this morning, July 17 — contents worth checking before you size anything.

What Sadot actually is now

Formerly Muscle Maker, the company pivoted into agri-commodity sourcing and trading — soybean meal, wheat, corn — and the past two months have been dense: a June 2 acquisition of UAE-based Anira Consulting and its TradeOS commodity-trading platform, plus an option on a seven-property Los Angeles residential portfolio valued at $125.5 million. The other side of the ledger is heavy. The restaurant segment was divested in December 2025, the Zambia farming operations were lost to a court ruling, the balance sheet shows a roughly $58.4 million shareholders’ deficit, and the company carries a going-concern warning into its Q2 report scheduled for August 13. Short-seller Fugazi Research called the stock “uninvestable” on July 6, citing repeated pivots, reverse splits, and Nasdaq compliance issues — and the stock cratered July 8 before rebuilding.

Supply watch: on July 7 Sadot settled about $3.36 million of debt by issuing 90,000 shares to Cedar and Agile, and those shares are restricted but may eventually become eligible for resale under Rule 144 — a large-scale sale could pressure the price. The 10-K remains late; Nasdaq’s exception window runs toward an October 14, 2026 compliance date.

The bracket into the open

Premarket tagged the low-$24s and faded back below VWAP — that zone lines up almost exactly with the July 10 swing high at $23.90. Call $24.20 the wall. Below, Thursday July 16’s intraday high of $18.68 is first support; the gap doesn’t survive losing that level, with air down to the high-$14s where Thursday closed. Volume already rotating the float multiple times premarket cuts both ways: it confirms real participation, but it also means most holders are minutes-old. Halt risk is live — the stock has taken volatility pauses twice in the past three weeks. This is run 2 in our coverage; we flagged the May 5 compliance-bounce at $0.54, and the ride since — splits included — shows how violently this one travels in both directions. Opportunity here is the cleaner supply picture post-ELOC; the risk is everything else in the filings.
