NIVF is the loudest tape on the board Wednesday morning, September 30 — up triple digits premarket on volume that has turned the listed float over hundreds of times before the opening bell. There’s no fresh headline behind it. Nothing filed overnight, no deal announced. This is a structural bounce off an offering price, and the whole sequence is worth walking through, because this pattern repeats on this corner of the market constantly.

How the flush set up

NewGenIvf is a Bangkok-based company whose legacy business is IVF and assisted-reproduction services across Asia, now bolted onto real estate development in the UAE’s Ras Al Khaimah, digital-asset ventures, and health products. The paper trail into this week was textbook: a trading halt with news pending on August 31, a 1-for-3 reverse split effective September 1, and an F-1 shelf filed August 20, amended twice in September, declared effective September 28. Then the drop: on September 29 the company priced a public offering for roughly $1.25 million in gross proceeds — 17,857,143 ordinary shares or pre-funded warrants at $0.07 per share. Against a share count of barely two million, that’s roughly nine times the existing base printed in one shot. The stock fell about 79% Tuesday, September 29, closing at $0.072 — pinned almost exactly to the deal price. That’s not a coincidence; that’s the market marking the stock to where the new paper cleared.

Proceeds, per the company, fund a direct investment in K25.ai, restructuring of existing debt, and working capital for its Nodexus cell-sorting machines. The transaction is expected to close on or about September 30 — today.

The mechanics lesson

The float number in the data box is the pre-offering float. Once this deal settles, effective supply is many multiples of that, and the pre-funded warrants — priced at $0.06999 with a $0.00001 exercise — are exercisable immediately. Every offering participant has a $0.07 cost basis. With the stock trading at a multiple of that premarket, those holders are sitting on instant profit, and reasonable-best-efforts deals like this rarely go to patient hands. Expect that supply on the tape today. Add reverse-split history — the 52-week high in four figures tells you September’s 1-for-3 wasn’t the first — and you have a fully assembled dilution machine, not a squeeze candidate.

Reading the bounce

The premarket tape spiked into the high-$0.20s early, then faded back to the mid-teens — below premarket VWAP. That’s the tell: when price sits under VWAP on volume this heavy, sellers are absorbing the bid, not chasing it. The bracket:

  • $0.07 — the offering price, and the level the whole structure gravitates toward. This is your line in the sand; a break below it means even deal buyers are cutting.
  • High-teens (VWAP zone) — reclaiming and holding it after the open is the minimum requirement for a real second leg.
  • $0.28 area — the premarket spike high. Above that, day-two momentum players pile in, but you’re fighting fresh offering supply the whole way.

Second-act potential exists — sub-penny-adjacent tickers with this much attention can run again on pure rotation — but size for violence: volatility halts are likely at the open, spreads are wide, and a stock at these prices carries obvious Nasdaq minimum-bid overhang. If you’re trading it, you’re trading the mechanics, not the story. Know where $0.07 is and respect what nine-fold share issuance does to every bounce above it.

Mechanics Box — the structural read
  • Shares outstanding: 2.24M · Float: 931.9K
  • Dilution-relevant SEC filings (30d): F-1/A (2026-09-10), F-1/A (2026-09-01)
  • Splits: 1-for-3 reverse (2026-09-01), 1-for-3 reverse (2026-07-06), 1-for-4 reverse (2026-03-16), 1-for-3 reverse (2026-01-26), 1-for-5 reverse (2025-12-01), 1-for-5 reverse (2025-08-04), 1-for-10 reverse (2025-05-05), 1-for-20 reverse (2025-02-11)
  • NIVF priced a $1.25M offering on Sept 29, 2026: 17,857,143 shares or pre-funded warrants at $0.07, roughly 9x the ~2.2M shares previously outstanding, with closing expected Sept 30. Pre-funded warrants ($0.00001 exercise) are immediately exercisable. The company executed a 1-for-3 reverse split effective Sept 1, 2026, and the four-figure 52-week high implies prior splits; an F-1 registration went effective Sept 28.
