FRGT is running hard in Wednesday pre-market with no press release, no filing, and no headline behind it. We checked. The newest company development is a Sept. 18 product announcement — Freight Technologies launched AI-powered proof-of-delivery validation on September 18 — and nothing has crossed the wire since. This is a structural move, full stop. The question is which force wins from here: the mechanical squeeze in a nearly nonexistent float, or the gravity that’s pulled this chart down roughly 99% over the past year.

The case for the squeeze

Start with the share structure, because it IS the story. FRGT executed a 1-for-5 reverse split effective May 18, 2026, cutting outstanding ordinary shares from about 2.86 million to roughly 0.57 million. That left one of the smallest tradable floats on the Nasdaq. Pre-market volume this morning has already turned that float over dozens of times — when supply is that thin, aggressive buying doesn’t need a reason to move price 35%+. It just needs a bid.

There’s also a modest short-side accelerant. Short interest hit 51,686 shares as of September 15, up 88.4% from the end of August, with about 9.9% of shares sold short. On a normal stock that’s nothing. On a float this size, forced covering can gap price level to level.

The case for gravity

FRGT closed Monday September 29 at its lowest levels of the year after five straight fading sessions — and the last comparable spike tells you how these resolve. On Tuesday September 23 the stock ran to the mid-$0.70s on enormous volume and gave nearly all of it back within three sessions. Same float, same absence of news, same outcome.

The split history matters for context: a 1-for-25 reverse split in September 2024, another 1-for-5 effective December 15, 2025, then May’s. Three splits in twenty months, each defending Nasdaq’s $1.00 minimum bid requirement — and the stock now sits well below a dollar again. Critically, the splits left total authorized shares unchanged, meaning the company retains the same capacity for future capital raising. The company has used it before: the July 15 update noted Fr8Tech reduced workforce and raised additional capital, and it secured a $2.5 million term loan in June to refinance an existing credit facility. New shares hitting a 567K float would reset this move instantly. Watch EDGAR for a 6-K.

The bracket

The data currently supports the squeeze — intraday, on this volume. But it’s a rented rally. Pre-market has traded a wide range; the high near $0.67 is the ceiling that matters, with the Sept. 23 spike high at $0.74 above it. A regular-session push through $0.74 with sustained volume would say this has a second act. Below, $0.28 is the floor — a break of the pre-market low near the 52-week bottom means the move is finished and you’re watching a round trip. VWAP in the mid-$0.50s is your control line: buyers above it, sellers below. Halt risk is real at this velocity; size so a five-minute pause doesn’t wreck you.

Business fundamentals aren’t driving this tape, but for the record: Fr8Tech runs cross-border logistics platforms in the USMCA corridor, and it’s exploring strategic alternatives for its brokerage operations, including a potential sale, while commercializing Fleet Rocket, Zayren Pro, and Fr8Radar.
