Brenmiller Energy (BNRG) is up more than 40% in Friday’s premarket as of this writing (8:52 AM ET, July 24), with premarket volume running north of ten times the entire float before the opening bell. Unlike last Friday’s spike, this one has a dated, named catalyst: at 8:30 AM ET the company announced a waiver from the European Investment Bank that defers its upcoming loan payment while the two sides advance toward a final settlement expected to reduce Brenmiller’s debt and strengthen its balance sheet. On a float this thin, that was all the tape needed.

Why an EIB waiver actually matters here

Quick history lesson, because the headline means little without it. The EIB signed a €7.5 million venture-debt agreement with Brenmiller to fund construction of the first large-scale factory for its bGen storage unit — the Dimona, Israel gigafactory inaugurated in May 2023, equipped to produce up to 4GWh of bGen TES systems annually. That debt has been a weight ever since. The company’s most recent annual report flags restrictive EIB covenants that limit financial flexibility and heighten liquidity risk, reports an accumulated deficit of roughly $116 million as of December 31, 2025, and expects continued losses — going-concern doubt and funding dependence dominate the filing. For a micro-cap carrying that profile, a deferred payment plus a settlement path that shrinks the debt stack is legitimate balance-sheet news. Note the fine print, though: this is a waiver and a negotiation, not a signed settlement. The business itself is real but early — thermal storage in crushed volcanic rock, plus the BrenX strategy introduced July 7 to evolve from equipment sales into owning and operating integrated energy assets.

The machinery underneath the pop

Here’s what the float structure teaches. This share count got tiny the usual way — three reverse splits since June 2025 totaling roughly 175-to-1 — and the supply side is anything but static. Financing risk is compounded by preferred shares and warrants carrying full-ratchet anti-dilution features under the July 2025 Alpha Capital agreement. On Monday July 20, an F-3 hit EDGAR registering up to 7.2 million ordinary shares for resale — nearly triple the current share count. Registration isn’t selling, but once effective that paper can hit the bid. Then comes the governance event: a July 29 shareholder meeting will vote on changing the name to BrenX Ltd. and on amending the Alpha Capital placement — a $1.5 million preferred investment at a revised $2.00 conversion price, new warrants totaling up to 1,075,000 shares at $2.00, and repricing of certain existing Alpha warrants to $2.00. One more wrinkle: short-term warrants are expected to be exercised if the share price averages at least $1.30 into that meeting. This morning’s premarket range straddles that threshold almost exactly. Know the level exists.

The levels

  • $1.40 — the premarket high and first rejection point. Reclaim it on volume and there’s air above.
  • $1.30 — the warrant-exercise threshold. A magnet and a battleground into July 29.
  • $0.98 — the July 17 spike high, where the last volume event stalled.
  • $0.83 — the premarket low. Lose it and you’re back into last week’s base near Thursday July 23’s close, and the move is likely finished.

Risk framework: with 7.2M registered resale shares looming over a float this small, size for a gap-down scenario rather than squeeze continuation, and respect halt risk at this velocity. If premarket VWAP holds as support after the open, momentum keeps its case; heavy prints into $1.30–$1.40 that fail to break through would say supply is already working.

Mechanics Box — the structural read
  • Shares outstanding: 2.62M · Float: 2.49M
  • Dilution-relevant SEC filings (30d): F-3 (2026-07-20)
  • Splits: 1-for-5 reverse (2026-04-15), 1-for-7 reverse (2026-01-26), 1-for-5 reverse (2025-06-20), 1-for-10 reverse (2023-12-04)
  • Roughly 2.6M shares outstanding with nearly all of it floating, after three reverse splits totaling about 175-to-1 since June 2025. A July 2025 Alpha Capital placement carries full-ratchet preferreds and warrants (amendments at a $2.00 conversion price go to a July 29, 2026 shareholder vote), and an F-3 filed July 20 registers up to 7.2M shares for resale. The latest annual report discloses going-concern doubt and restrictive EIB loan covenants.
