Written 8:50 AM ET, Thursday August 6, before the open. The tape actually broke character a day before the headline did. CELZ spent late July and early August drifting near its 52-week low on sleepy volume — then Wednesday August 5 traded a monster session, hundreds of times its recent daily turnover, and still closed almost exactly where it opened. Flat close, enormous churn. That combination is worth studying, because it’s often what accumulation into a catalyst looks like.
Then the catalyst showed up. Patent news triggered a 33%+ after-hours surge in CELZ Wednesday evening, and premarket this morning has extended the move well past that — the stock is up more than 60% from Wednesday’s close, and premarket volume alone has rotated the float many times over.
What the business actually is
Creative Medical is a clinical-stage regenerative medicine shop. The story centers on CELZ-201, or olastrocel, an allogeneic perinatal tissue-derived cell therapy in the FDA-cleared ADAPT trial for chronic lower back pain, plus platform extensions like Ultrasome for knee osteoarthritis. The IP drumbeat is real and constant — two U.S. patents issued in Q3 2025 (expiring 2042–2043) and more than 60 patents and pending applications in the portfolio. A July mid-year update flagged statistically significant 180-day improvements in chronic lower back pain for olastrocel with an FDA-cleared ADAPT expansion, and a 93% responder rate in an osteoarthritis pilot for Ultrasome.
The mechanics lesson — why the float matters more than the patent
Here’s the pattern to learn. A sub-5M float means any real demand shock produces violent price discovery — there simply isn’t enough stock to go around, so a 33% after-hours pop compounds into a 60%+ premarket gap. But the same structure cuts the other way, because the dilution machinery is armed. Sequence the filings: an S-3 shelf filed July 24, effective July 31, and a 424B3 prospectus on August 3 — two days before this move. When a shelf goes effective right before a spike, the company can legally sell into your rally. History says they will: CELZ filed in late June to sell shares in a public offering, then rallied hard after withdrawing those plans, and on June 30 announced warrant-exercise agreements for $4.5 million gross proceeds. An October 2025 warrant inducement deal was followed by a -32.7% session. Balance-sheet context: Q1 2026 showed a $1.4 million net loss with $5.7 million in cash after burning $1.3 million in operating cash. They need the shelf. One more structural note: the company pays for investor-awareness services — paid promotion often amplifies moves like this one.
How it trades from here
The premarket bracket is your map. Resistance sits at the roughly $1.35–1.40 premarket high zone; a break-and-hold above it on the open, with the tape staying over premarket VWAP (low $1.10s), says buyers still control the supply. Lose the $1.00 round number and the air pocket back toward the 60s reopens fast. Watch for a pricing prospectus or 8-K this morning — shelf paper hitting the tape is the single event most likely to cap this. LULD halts are near-certain on a float this thin, so size positions assuming you can’t exit at will. Second act depends on a follow-on release; this company layers PRs, and the June episode shows these moves can run multiple sessions when supply stays off the tape.

- Shares outstanding: 6.49M · Float: 4.70M
- Dilution-relevant SEC filings (30d): 424B3 (2026-08-03), S-3 (2026-07-24)
- Splits: 1-for-10 reverse (2023-06-12), 1-for-500 reverse (2021-11-10), 1-for-150 reverse (2020-02-03)
- Roughly 6.5M shares outstanding with a sub-5M float. An S-3 shelf filed July 24, 2026 went effective July 31 with a 424B3 prospectus filed August 3 — active registered supply. Prior capital activity includes June 30 warrant-exercise agreements for $4.5M gross and an October 2025 warrant inducement deal; Q1 2026 cash was $5.7M against roughly $1.3M quarterly operating burn.
