Datasea (DTSS) is ripping in Thursday premarket on millions of shares before the bell, and the first thing to understand is that this leg has no fresh headline behind it. Shares climbed roughly 45% in overnight trading Thursday, after a Wednesday regular session that actually closed down 7.63% at $0.59 — and no immediate catalyst behind the overnight move was identified. This is a structural move: a sub-10M float re-attacking a level it failed at less than 24 hours ago.
The actual news dropped Wednesday morning, September 16. Datasea announced its Chinese operating entity plans to expand strategic cooperation with Nanjing Linghang Intelligent Aviation Technology to jointly develop AI-powered elderly care robot solutions and digital service platforms — pitched as an entry into China’s trillion-RMB “silver economy”. Datasea contributes the AI agent, multimodal data processing, and software layer; Linghang brings the robot hardware, motion control, sensors, and manufacturing. Note the language: plans, proposed cooperation. No dollar figures attached.
Wednesday’s tape told two stories
Wednesday’s session is the tell. DTSS opened at $0.65, spiked to $0.80 on the robot headline, then got sold all the way down through the base to a $0.53 print — a fresh all-time low — before closing red at $0.59. All of that on 32.6M shares, orders of magnitude above the sleepy 3–9K-share sessions that preceded it. Somebody used that pop as an exit. Now the overnight crowd is running it right back into the same zone, with premarket trade pressing above Wednesday’s high on heavy tape.
That makes $0.80 the pivot for the open. Hold above it on sustained volume and Wednesday’s sellers are absorbed — the mid-$0.80s premarket high is the next marker, then the psychological $1.00. Lose $0.80 early and you’re looking at the same script as Wednesday: air down to the $0.66–0.67 pre-news base, then $0.59, with $0.53 as the floor of record. Short interest sits around 7.1% — some squeeze fuel, not a monster.
The shelf went live nine days ago
Here’s what the filings say that the overnight tape doesn’t. An SEC EFFECT notice hit September 8 — nine days before this move — tied to a new Form F-3 shelf filed by the BVI holding company whose Class A shares trade as DTSS. Datasea has a track record of using shelves: it sold stock and pre-funded warrants off its prior S-3 in 2023 and again via prospectus supplement in 2024. Share structure history rhymes, too — roughly 27.8M shares outstanding in September 2023 became about 3.6M by July 2024 (reverse split), and the count has since rebuilt to the mid-teens. A live shelf over a spiking micro-cap means registered supply can hit any strong tape, priced at the company’s discretion.
The business itself isn’t a shell: fiscal 2025 revenue was $71.6M, up nearly 199%, with losses narrowing to about $5.1M — though gross margin runs near 7.4% and current liabilities exceed current assets, with a current ratio around 0.6. CEO Zhixin Liu holds roughly 32% of shares and about 49% of the votes, which is a big chunk of the reason the tradable float is thin.
How to handle the open
Size for a name that traveled from $0.53 to $0.80 in one session. The clean read: $0.80 is your line — above it with volume, the second act has room; below it, you’re trading Wednesday’s rejection all over again, and the shelf overhead argues against paying up into strength. Watch the wires for a prospectus supplement — that’s the filing that would confirm supply is being sold into this.

- Shares outstanding: 14.42M · Float: 8.21M
- Dilution-relevant SEC filings (30d): none found in the last 30 days
- Splits: 1-for-15 reverse (2024-01-23), 1-for-3 reverse (2018-05-01), 5-for-1 forward (2015-11-19)
- Roughly 14.4M shares outstanding with an 8.2M float; CEO Zhixin Liu holds about 32% of shares and ~49% of voting power. A new Form F-3 shelf registration was declared effective September 8, 2026, and the company has previously sold stock and pre-funded warrants off shelf registrations in 2023 and 2024. Share count fell from ~27.8M (2023) to ~3.6M (mid-2024) via reverse split before rebuilding to current levels; the company redomiciled to a BVI holding structure in April 2026 and reports as a foreign private issuer.
