Time-stamped 8:34 AM ET, Wednesday September 3. GIPR is gapping more than 50% in the premarket on volume that’s already churned its sub-3M float many times over. I checked the wires, EDGAR, and the company’s IR page — nothing filed overnight, nothing this morning. The last company news was an August 25 release announcing two property sales — a portion of its Dollar General portfolio and the Fresenius property in Chicago — that funded senior mortgage payoffs and principal reduction to Loci Capital. That’s nine days old. This is a structural move, a micro-float getting hit with momentum flow. Not a criticism — it’s the single most important fact about the trade.

Two forces, one chart

Force one: the float. A 1-for-10 reverse split effective July 9 cut outstanding shares from roughly 10.3M to about 1.03M, and issuance since has rebuilt the count to only around 3M. When a float this thin meets tens of millions of shares of premarket volume, price discovery goes vertical. Tuesday September 2 was the tell — volume exploded to roughly 25–30x the prior sessions and the stock closed green. Somebody’s scanner found this before today.

Force two: the listing machinery. On August 6, Nasdaq staff notified the company it isn’t eligible for a second 180-day compliance period on the $1.00 minimum bid because it failed the $1,000,000 minimum market value of publicly held shares test — an additional deficiency the hearings Panel will consider alongside the pending equity matter. The company has been repairing itself: it regained compliance with Nasdaq’s stockholders’ equity requirement effective August 10, narrowed its Q2 net loss 76% year-over-year, and cut the Loci preferred obligation to $7.96 million from a ~$20 million peak. But the bid-price problem isn’t cured, and a Panel ruling can land any day. Twisted part: this rally does the compliance work — a move toward $1.00 mechanically helps both deficiencies at once. So my standing question: who’s selling into a move the company badly needs, and why?

What the paper says

A June 2026 public offering raised about $4.6 million net, priced as 23,825,000 shares with warrants to purchase up to 23,825,000 more — pre-split paper that’s real potential supply against this float if those warrants are exercisable near current prices. The legacy publicly traded warrants adjusted to 0.10 shares each at an effective $100.00 strike — dead weight, ignore them. No ATM or ELOC shows up in recent filings, which is cleaner than most runners in this bracket. Business-wise, 2025 revenue was $9.74 million with losses of $10.34 million — a tiny net-lease REIT mid-repair, not a growth story.

Where the thesis flips

Data currently favors the squeeze side: fresh 30-day filings show property sales and debt paydown, not dilution. Watch the premarket high near $0.69 — acceptance above it opens air toward $1.00, which doubles as the compliance line and an obvious magnet. Below, the low-$0.50s premarket shelf and the $0.39 prior close are the trapdoors; a fade through premarket VWAP on shrinking volume says the day-one move is exhausted. What flips me bearish instantly: an offering priced into strength, a resale registration, or an adverse Panel decision — any one, and the bid vanishes. Halt risk is live at this velocity, and a delisting ruling is binary tail risk. Size like it can gap 40% against you, because it can.

Mechanics Box — the structural read
  • Shares outstanding: 3.04M · Float: 2.58M
  • Dilution-relevant SEC filings (30d): none found in the last 30 days
  • Splits: 1-for-10 reverse (2026-07-10), 1-for-4 reverse (2020-10-12)
  • Share count was cut to about 1.03M in a 1-for-10 reverse split effective July 9, 2026, and has since roughly tripled via issuance, including a June 2026 best-efforts offering (~$4.6M net) sold with matching warrants on 23.8M pre-split units. Legacy public warrants adjusted to 0.10 shares at an effective $100 strike. Equity-rule compliance was regained August 10, 2026, but the $1.00 minimum-bid deficiency and a market-value-of-publicly-held-shares deficiency remain before a Nasdaq hearings panel; no ATM or ELOC identified in recent filings.
