Vivakor (NASDAQ: VIVK) is bid up more than 40% in Wednesday’s premarket, July 29, and the driver is a familiar one — the company’s third crude-oil marketing announcement in eight days, landing on what is now one of the smallest tradable floats on the Nasdaq. This report is being written at 8:45 AM ET, before the regular session opens. Whatever the headlines say about billion-dollar platforms, the real story here is structural: a 1-for-20 reverse split eleven days ago compressed the share count to a sliver, and premarket volume has already turned that float over more than twenty times.
The catalyst chain
Wednesday morning’s release announced two new long-term crude programs lifting Vivakor’s recurring marketing platform to roughly $1.5 billion in annualized commercial activity. It’s the third rung on a fast ladder. On July 21, Vivakor signed four recurring crude oil purchase and sale agreements with two commercial counterparties, bringing its recurring commercial programs to roughly $709 million annualized. Then on July 24, two more recurring programs added approximately $384 million, pushing the announced platform past $1.09 billion — that Friday session spiked to $3.92 intraday on enormous volume before fading. One structural caveat buried in the coverage: Vivakor recognizes only a small portion of total contract value as gross profit because it acts as an intermediary in physical commodity marketing. These are pass-through dollars, not revenue-multiple dollars.
Separately, the company implemented a 1-for-20 reverse stock split effective at the open on July 17, reducing outstanding shares from approximately 13,344,000 to approximately 667,200. The split was intended to lift the per-share price and support continued Nasdaq listing.
The float math and the supply behind it
A float under 600K shares is why VIVK can move 40% on a press release. It’s also why it can round-trip in an afternoon — Friday July 24 opened at $3.61, tagged $3.92, and closed at $2.91; by Tuesday July 28 it had bled back to $1.94 on drying volume. Tight floats cut both ways, and Nasdaq LULD halts are near-certain at this velocity.
The supply picture matters more than the headlines. A 424B3 resale prospectus went live July 21 (registration declared effective July 16). Behind it:
- May 2026 convertible notes carrying $15.0M principal against up to $12.0M in proceeds, convertible at or above $0.37 per share pre-split
- A standby equity purchase agreement allowing up to $100M of stock sales over 36 months — against a market cap under $2M today, that’s the whole ballgame
- Pre-split, registered shares would have taken the count from 9.15M to 49.7M assuming full issuance — substantial potential dilution
Add a trailing-year net loss north of $100M and negative free cash flow, and the cash need behind that machinery is not hypothetical.
How it trades from here
Premarket has stalled just under $3 — that’s the first fight at the open. Clear it on sustained volume and Friday’s $3.92 spike high is the second-act magnet. Lose the tape and the low-$2.10s base from Monday–Tuesday is the fallback; below that sits the prior close. Watch for any new prospectus supplement or SEPA draw notice — with the shelf effective, conversion and facility supply can hit the tape any session, and the Friday pattern (blowoff, fade, three-day bleed) is the template until proven otherwise. Size for halts, not for comfort.
